By accessing our website or purchasing our services, you agree to these Terms.

2.1 Intellectual Property

All content on this website (text, graphics, code, branding, etc.) is owned by SERYNTO or its licensors.

You are granted a limited, non-transferable license to access and view the content for personal or business use.

2.2 Restrictions

You agree not to:

  • Copy, reproduce, or republish website content
  • Sell or commercialize any website material
  • Perform data scraping, mining, or extraction
  • Attempt to damage, hack, or disrupt the website
  • Use the website for unlawful purposes

We reserve the right to restrict access to any part of the website at our discretion.

3.1 Service Nature

SERYNTO provides:

  • Fixed-hour service packages
  • Custom Odoo development and implementation
  • Consulting and technical services

3.2 Pricing

  • All prices are listed on the website or shared via proposal/SOW
  • Prices may change at any time without prior notice
  • Taxes (GST or others) are additional and payable by the Client

3.3 Payment Terms

  • Services require advance payment unless stated otherwise
  • Work begins only after payment is received
  • Failure to pay may result in suspension or termination of services

Fixed-Hour Service Packages
4. Fixed-Hour Service Packages

4.1 General Terms

  • Hours are prepaid, non-refundable, and non-transferable
  • Packages are valid for a limited duration (as specified at purchase)
  • Unused hours expire after validity

4.2 Usage

Time is tracked and deducted for all work including:

  • Development
  • Meetings
  • Support
  • Communication

4.3 Scope Limitation

  • Packages are intended for support, fixes, and minor enhancements
  • Major features or new modules require a separate agreement

4.4 Overage

  • Additional hours beyond package will be billed separately

Custom Odoo Applications
5. Custom Odoo Applications

5.1 Scope & Deliverables

All development is based on agreed requirements or SOW.

Anything not defined is considered out of scope and chargeable

5.2 Third-Party Dependencies

We are not responsible for:

  • Odoo core updates
  • Third-party modules or APIs
  • External service failures

Any required fixes due to such changes are billable.

Intellectual Property Rights
6. Intellectual Property Rights

6.1 Ownership

  • All code and deliverables remain the property of SERYNTO until full payment is made

6.2 License

After full payment:

  • Client receives a limited usage license
  • Ownership is not transferred unless agreed separately

6.3 Restrictions

You may not:

  • Resell or redistribute our code
  • Reverse engineer or replicate solutions
  • Use our work to build competing products

6.4 Internal Tools

SERYNTO retains ownership of all internal frameworks, scripts, and reusable components.

Client Responsibilities
7. Client Responsibilities

The Client agrees to:

  • Provide accurate data and requirements
  • Assign a single point of contact
  • Provide timely feedback and approvals
  • Maintain required hardware and infrastructure

Acceptance & Delivery
8. Acceptance & Delivery

  • Client must review deliverables within 7 days
  • Failure to report issues = automatic acceptance

Refund & Cancellation Policy
9. Refund & Cancellation Policy

  • All payments are non-refundable unless explicitly agreed
  • Unused service hours are not refundable or transferable
  • SERYNTO may terminate services for breach of terms

Limitation of Liability
10. Limitation of Liability

  • Liability is limited to 50% of the total amount paid
  • We are not liable for:
    • Loss of profits
    • Data loss
    • Business interruption

No Warranties
11. No Warranties

All services are provided "as is" without warranties of any kind.

We do not guarantee:

  • Error-free operation
  • Continuous uptime
  • Absolute security

Indemnification
12. Indemnification

You agree to indemnify SERYNTO against any claims arising from:

  • Your misuse of services
  • Violation of laws
  • Breach of these Terms

Suspension & Termination
13. Suspension & Termination

We may suspend or terminate services if:

  • Payments are overdue
  • Terms are violated
  • Misuse or abuse occurs

Non-Solicitation
14. Non-Solicitation

Client agrees not to hire or engage SERYNTO employees during the project and for 12 months after completion.

Violation may result in financial penalties

Confidentiality
15. Confidentiality

Both parties agree to keep confidential information secure and not disclose it to third parties.

Force Majeure
16. Force Majeure

We are not liable for delays caused by events beyond our control, including:

  • Natural disasters
  • Government restrictions
  • Internet outages

Governing Law
17. Governing Law

These Terms are governed by the laws of India, with jurisdiction in Surat, Gujarat

Changes to Terms
18. Changes to Terms

We may update these Terms at any time. Continued use of our website or services means you accept the updated Terms.

Entire Agreement

These Terms constitute the entire agreement between you and SERYNTO.
